These Terms of Service ("Terms") govern your use of RetryPayment's service. By using RetryPayment, you agree to these Terms. Please read them carefully.
1. Acceptance of Terms
By creating an account, accessing, or using RetryPayment, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our service.
2. Description of Service
RetryPayment provides automated payment recovery services for Stripe-based subscription businesses. Our service:
- Monitors failed payments from your Stripe account
- Automatically retries failed payments using smart logic
- Sends personalized recovery emails to customers
- Provides analytics and reporting on recovery performance
3. Eligibility
To use RetryPayment, you must:
- Be at least 18 years old
- Have a valid Stripe account in good standing
- Operate a legitimate subscription-based business
- Have the authority to bind your company to these Terms
4. Account Registration
You agree to:
- Provide accurate and complete registration information
- Keep your account credentials secure
- Notify us immediately of any unauthorized access
- Be responsible for all activity under your account
5. Stripe Integration
By connecting your Stripe account, you authorize RetryPayment to:
- Access payment transaction data (amounts, statuses, customer emails)
- Retry failed payments on your behalf using Stripe's API
- Send transactional emails to your customers regarding failed payments
You can revoke this authorization at any time by disconnecting your Stripe account in your RetryPayment settings.
6. Pricing and Payment
Early Adopter Pricing
The first 100 users receive lifetime pricing of $49/month. This rate is locked in permanently and will never increase for these users.
Standard Pricing
After the first 100 users, standard pricing is $99/month.
Payment Terms
- Billing occurs monthly in advance
- All fees are in USD
- Payments are processed via Stripe
- No refunds for partial months
- We may change pricing for new customers with 30 days notice
- Lifetime pricing guarantees will always be honored
7. Acceptable Use
You agree NOT to:
- Use the service for any illegal purpose
- Send spam or unsolicited communications
- Abuse, harass, or threaten customers
- Attempt to bypass security measures
- Reverse engineer or copy our software
- Resell or redistribute our service
- Use the service to collect data on competitors
8. Data and Privacy
Our data practices are governed by our Privacy Policy. By using RetryPayment, you also agree to our Privacy Policy.
You represent that you have obtained all necessary permissions to:
- Share customer data with RetryPayment
- Allow us to send recovery emails to your customers
- Process payments on your behalf
9. Service Availability
We strive for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for:
- Scheduled maintenance downtime (announced in advance)
- Force majeure events beyond our control
- Third-party service failures (Stripe, email providers, hosting)
- Issues caused by your internet connection or device
10. Intellectual Property
RetryPayment retains all rights to:
- Our software, code, and technology
- Our brand, logo, and trademarks
- Our documentation and materials
You receive a limited, non-exclusive, non-transferable license to use the service for your business purposes only.
11. Customer Communications
When using RetryPayment to send recovery emails:
- You remain responsible for the content of communications
- You must comply with CAN-SPAM, GDPR, and other applicable laws
- You must provide accurate "from" information
- You must include unsubscribe options where required
12. Limitation of Liability
RetryPayment is provided "AS IS" without warranties of any kind.
We are not liable for:
- Lost revenue from failed recovery attempts
- Customer disputes or chargebacks
- Damage to customer relationships
- Data loss or corruption
- Indirect, incidental, or consequential damages
Our total liability is limited to the amount you paid us in the previous 12 months.
13. Disclaimer of Warranties
We do not guarantee:
- Specific recovery rates or revenue outcomes
- That the service will be error-free or uninterrupted
- That all payments will be successfully recovered
- Compatibility with all Stripe configurations
14. Indemnification
You agree to indemnify and hold RetryPayment harmless from any claims arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Content of your customer communications
15. Termination
You may cancel anytime:
- Cancel in your account settings
- Contact us through our waitlist form
- Cancellation takes effect at the end of the billing period
- No refunds for partial months
We may suspend or terminate your account if:
- You violate these Terms
- Your payment fails and remains unpaid for 7 days
- You engage in fraudulent activity
- Required by law
16. Data After Termination
Upon termination:
- Your Stripe connection is immediately disconnected
- Active recovery attempts are stopped
- Your data is retained for 90 days for potential reactivation
- After 90 days, all data is permanently deleted
- You can request immediate deletion by emailing us
17. Changes to Terms
We may update these Terms. We will notify you of material changes via:
- Email to your registered address
- Notice on our website
- In-app notification
Continued use after changes constitutes acceptance. If you disagree, you must stop using the service.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
19. Dispute Resolution
Any disputes will be resolved through:
- Good faith negotiation first
- Binding arbitration if negotiation fails
- Arbitration in Delaware under AAA rules
- Each party bears their own legal costs
20. Severability
If any provision of these Terms is found invalid, the remaining provisions continue in full force.
21. Assignment
You may not transfer your account or these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
22. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service disruptions.
23. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RetryPayment.
